Welcome to Verve Offices Inc ("we", "us", "our"). These Terms and Conditions ("Terms") govern your purchase and use of our commercial office furniture and related products and services. By purchasing our products or using our services, you, as the Purchaser, agree to these Terms. Please read them carefully. If you do not agree, you may not purchase or use our products and services.

1. General Provisions

1.1 Agreement to Terms

By placing an order or entering into any transaction with us, you agree to be bound by these Terms, as well as our Privacy Policy and any other policies referenced herein. We reserve the right to update or modify these Terms at any time without prior notice. The most recent version of these Terms will be available on our website.

2. Orders and Acceptance

2.1 Order Process

All orders are subject to acceptance and availability. You will receive an order confirmation after placing an order, but this confirmation does not constitute acceptance of your order. We reserve the right to refuse or cancel any order for any reason, including but not limited to errors in pricing or availability, or suspected fraudulent activity.

2.2 Pricing and Payment

All prices are subject to change without notice. Prices are exclusive of taxes, shipping, and handling charges unless otherwise stated. Payment must be made in full before shipment or delivery, unless otherwise agreed upon in writing.

2.3 Cancellation and Modification

Orders may only be canceled or modified within 24 hours of placement, subject to approval. After this period, cancellations or modifications are subject to a 50% restocking fee for non-custom items, and any non-refundable costs incurred by us for custom orders or special items will be billed to the customer.

3. Ownership and Risk

Title of the Goods shall not pass from Verve Office Inc to the Purchaser until full payment for the Goods has been received by Verve Office Inc. The Purchaser agrees to release to Verve Office Inc, on demand, any such goods as remain unpaid and overdue under the terms of this agreement. Overdue amounts are subject to interest at 1.5% per month. Risk and responsibility for the Goods and the obligation to insure the goods shall pass to the Purchaser immediately upon delivery of the Goods to the premises of the Purchaser.

4. Delivery and Installation

4.1 Delivery Schedule

Delivery dates provided are estimates only. We are not responsible for delays due to circumstances beyond our control, including but not limited to weather, shipping carrier issues, supply chain disruptions, or labor strikes.

4.2 Inspection and Acceptance

Upon delivery, you are responsible for inspecting all products. Any damages, defects, or discrepancies must be reported to us within 48 hours of delivery. Failure to do so constitutes acceptance of the products.

4.3 Installation Services

If installation services are included or purchased, you are responsible for ensuring that the site is ready for installation, including clearing any obstacles and ensuring that utilities (e.g., electricity, internet) are available. Additional fees may apply for delays or additional labor required due to unpreparedness.

5. Returns, Refunds, and Exchanges

5.1 Return Policy

Returns are only accepted for defective products or errors in shipment. Returned items must be in their original packaging, unused, and accompanied by proof of purchase. Returns must be initiated within 14 days of receipt. Custom or special orders are non-refundable.

5.2 Refunds and Restocking Fees

If approved, refunds for non-custom items will be issued to the original payment method within 30 business days, minus a 50% restocking fee. The customer is responsible for return shipping costs, except in cases where we shipped incorrect or defective items.

5.3 Exchanges

Exchanges are subject to the same conditions as returns and are only allowed for identical items unless otherwise agreed upon. Custom or made-to-order items cannot be exchanged.

7. Limitation of Liability

7.1 Disclaimer

Except as explicitly stated in these Terms, we make no warranties or representations about the quality, fitness for a particular purpose, or merchantability of our products.

7.2 Liability Limitation

To the fullest extent permitted by law, our liability for any claim arising out of or relating to these Terms or the purchase or use of our products shall be limited to the amount paid for the product or service in question. Under no circumstances will we be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits or business interruption.

8. Indemnification

You agree to indemnify, defend, and hold harmless Verve Office Inc, its affiliates, directors, employees, and agents from any and all claims, damages, costs, or expenses (including legal fees) arising from your use of our products, your breach of these Terms, or your violation of any law or rights of a third party.

9. Force Majeure

We are not liable for any failure to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, strikes, supply chain interruptions, or other unforeseen circumstances.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the Province of Ontario, without regard to its conflict of laws principles.

10.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the purchase or use of our products shall be resolved through binding arbitration. The arbitration shall take place in Ontario, and the decision of the arbitrator shall be final and binding.

11. Intellectual Property

All intellectual property rights in our products, website, and marketing materials are owned by or licensed to Verve Office Inc. You may not reproduce, distribute, or otherwise use our intellectual property without our prior written consent.

12. Severability

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

13. Entire Agreement

These Terms, along with any applicable order confirmations, invoices, and other policies, constitute the entire agreement between you and Verve Office Inc with respect to your purchase and use of our products, and supersede all prior agreements or communications.
